If you are using the Sites on behalf of any entity, you represent and warrant that you are authorized to accept these Terms on such entity's behalf, and that such entity will be responsible to Ayo! Connect if you violate these Terms. These Terms contain disclaimers and other provisions that limit our liability to you.

 

Ayo! Connect reserves the right to modify these Terms at any time and at our sole discretion. If we make any changes to these Terms, we will provide notice of such changes, such as by updating the "Last Updated" date at the top of these Terms. Any modifications will be effective immediately upon posting the revisions to the Sites, and you waive any right you may have to receive specific notice of such modifications. You may be able to submit online donations to us on the Sites using a payment portal. Please note that any donation solicitation on these Sites is only intended for the States of California. By providing a credit card or other payment method that we accept, you represent and warrant that you are authorized to use the designated payment method and that you authorize us (or our third-party payment processor) to charge your payment method for the total amount of your donation. Connect or our licensors or users and are protected by U.S. and international copyright laws. Ayo! Connect grants you a limited, non-transferable, non-exclusive, non-sublicensable license to access and use the Sites and Site Materials, and to electronically copy (except where prohibited without a license) and print to hard copy portions of the Site Materials, provided that you do not remove any proprietary notice language in any copies of such documents; however, such license is subject to these Terms and, except as permitted under applicable law, does not include (a) any resale or commercial use of the Sites or Site Materials without our express written consent; (b) the distribution, public performance, or display of any of the Site Materials; (c) the modification or derivative use of the Sites or Site Materials, or any portion thereof; (d) the use of any data mining, robots or similar data gathering or extraction methods; (e) the download (other than the page caching) of any portion of the Sites, Site Materials or any information contained therein, except as expressly permitted on the Sites; and (f) the use of the Sites or Site Materials other than for their intended purposes.

After-school logos and any other product or service names, trademarks or slogans contained in the Sites are property of Ayo! Connect, or our suppliers or licensors, and may not be copied, imitated or used, in whole or in part, without the prior written permission of Ayo! Connect or the applicable property holder. You may not use any metatags or any other "hidden text" utilizing "Ayo! Connect" or any other name, product, or service name of Ayo! Connect without our prior written permission.

 

Ayo! Connect grants you a limited, non-exclusive right to create a text hyperlink to the Sites for noncommercial purposes, provided such link does not portray Ayo! Connect, Ayo! Education, Ayo! Education Online, Ayo! Events, Ayo! Scholarships, Ayo! CONNECT, and Ayo! After-school or any of our products or services in a false, misleading, derogatory or otherwise defamatory manner and provided further that the linking site does not contain any adult or illegal material or any material that is offensive, harassing or otherwise objectionable. This limited right may be revoked at any time. You may not use any logo or other proprietary graphic of Ayo! Connect or our licensors to link to the Sites without our express written permission. Further, you may not frame or utilize framing techniques to enclose Ayo! Connect's property, logo or other proprietary information, including the content of any text on the Sites without our express written consent. Except as set forth above, you are not conveyed any right or license by implication, estoppel or otherwise in or under any proprietary right of Ayo! Connect or any third party. Ayo! Such sites are not under the control of Ayo! Connect's business and systems, Ayo! TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE AGGREGATE LIABILITY OF AYO! CONNECT, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY OR OTHER THEORY, ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SITES OR SITE MATERIALS EXCEED THE AMOUNT YOU PAID TO ACCESS OR USE THE SITES AND SITE MATERIALS.

Ayo! Connect will not be liable for any modification, suspension or discontinuance of the Sites or any part thereof.

 

Notwithstanding any of these Terms, we reserve the right, without notice and in our sole discretion, to terminate your right to use the Sites, or any portion of thereof, and to block or prevent your future access to and use of the Sites or any portion thereof.
